📄 OpsLab Systems — Partner & Independent Service Provider Agreement
1. Overview
This Agreement applies to all developers, designers, service providers, and partners (“Providers”) using or associated with OpsLab Systems (“Platform”).
OpsLab Systems acts solely as a connection and discovery platform. We do not employ, manage, or directly contract Providers unless explicitly stated in writing.
2. Independent Contractor Status
All Providers operate as independent contractors.
Nothing in this Agreement creates:
Employment relationship
Partnership or joint venture
Agency relationship between OpsLab Systems and Providers
Providers are solely responsible for their own services, business operations, taxes, and legal obligations.
3. Service Responsibility & Quality
Providers agree that they are fully responsible for:
The quality and accuracy of all services or products delivered
Ensuring all work is functional, safe, and as described
Communicating clearly with clients regarding delivery and expectations
Resolving any issues arising from their services
OpsLab Systems does not guarantee or certify the outcome of any third-party service.
4. Refund Policy Requirement (Digital Goods)
All Providers selling digital products (including but not limited to scripts, skins, assets, or software) must clearly offer a minimum 24-hour refund window from the time of purchase, unless otherwise explicitly stated and agreed with the client.
Failure to comply with refund transparency requirements may result in suspension or removal from the Platform.
5. Complaints, Reviews & Warning System
OpsLab Systems may monitor feedback, complaints, and client reports relating to Providers.
The following system may be applied at our discretion:
Warning System:
First verified complaint: Warning issued to Provider
Second verified complaint: Temporary suspension or restriction of services
Repeated or severe complaints: Permanent removal from the Platform
Serious issues (including fraud, scams, or intentional misrepresentation) may result in immediate removal without prior warning.
6. Prohibited Conduct
The following actions are strictly prohibited:
Fraudulent activity or misrepresentation
Scamming or intentional non-delivery of services
Selling stolen, unlicensed, or illegal content
Repeated failure to deliver agreed work
Abuse or harassment of clients or other users
Violations may result in immediate removal and potential reporting to relevant authorities where applicable.
7. Termination of Access
OpsLab Systems reserves the right to:
Suspend or remove any Provider at any time
Restrict access to Platform services
Remove listings or references to Providers
This may occur with or without notice in cases of policy violations, repeated complaints, or reputational risk to the Platform.
8. Limitation of Liability
To the maximum extent permitted by law:
OpsLab Systems is not liable for disputes between clients and Providers
OpsLab Systems is not responsible for financial losses, damages, or service failures caused by Providers
All transactions and agreements between clients and Providers are undertaken at their own risk
Clients and Providers acknowledge that they engage with each other independently.
9. Reputation & Conduct Expectations
Providers are expected to maintain professional conduct at all times.
Repeated negative feedback, verified misconduct, or behaviour that damages trust in the Platform may result in removal.
10. Acceptance
By using OpsLab Systems as a Provider, you confirm that you:
Have read and understood this Agreement
Agree to operate as an independent contractor
Accept responsibility for your own services and clients
Acknowledge OpsLab Systems is not liable for your actions or outcomes
